1. Acceptance of Terms

By accessing, purchasing from, or using software obtained from ipowcore.com, you agree to be bound by these Terms and Conditions. iPow Core is a software brand operated by IPOW HOSTING LLC, a Wyoming Limited Liability Company with its registered office at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("we", "us", the "Company"). If you do not agree, do not purchase or use the software.

If you accept these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation.

2. Software Licence Grant

Upon purchasing a valid licence key through our checkout, you are granted a non-exclusive, non-transferable, revocable licence to install and use iPow Core – Payment Fees for WooCommerce on up to the number of active WooCommerce sites granted by your plan (Starter: 1 site, Business: 5 sites, Agency: 25 sites, VIP: unlimited sites).

Each plan is offered in two billing modes, which grant identical features and identical site limits:

• Annual — a recurring subscription billed once per year that renews until cancelled.
• Lifetime — a single one-time payment. It does not renew and does not expire. See section 5a for exactly what "lifetime" covers.

You may install the software on staging or development copies of a licensed site without consuming an additional activation. You may modify the software for your own use, and you may install it on sites you build for clients within your site limit.

3. Licence Restrictions

You may not:

• Resell, sublicense, rent, or redistribute the software or your licence key as a standalone product;
• Share, publish, or distribute your licence key, or use it on more sites than your plan permits;
• Remove or alter copyright notices, or circumvent licence validation or update mechanisms;
• Use the software to build or operate a product that competes directly with iPow Core.

The software is licensed, not sold. All intellectual property rights in the software remain with the Company. Portions of the software governed by the GNU General Public License retain the rights granted to you under that licence.

4. Licence Renewals & Software Updates

An active licence key is required to download software updates, security patches, and to access customer support.

Annual licences are granted on a yearly subscription basis. If an annual subscription is cancelled or expires, installed plugin code continues to function, but automatic updates and technical support terminate until the licence is renewed.

Lifetime licences do not expire, so updates and support remain available without any further payment, subject to section 5a.

5. Pricing, Billing & Automatic Renewal

All prices are stated and charged in USD and exclude any applicable sales tax, VAT, or GST, which is calculated at checkout based on your billing location.

Annual plans renew automatically each year at the then-current price for your plan, using the payment method on file, until cancelled. We will notify you by email at least 14 days before any renewal that is priced higher than your previous term, so you can cancel first if you prefer.

Lifetime plans are charged once and only once. There is no recurring charge, no renewal, and no stored subscription to cancel. If you are ever billed a second time for a lifetime licence, contact us and we will refund it in full regardless of how much time has passed.

5a. What "Lifetime" Means

So there is no ambiguity: a lifetime licence entitles you to use iPow Core – Payment Fees for WooCommerce on up to your plan's site limit, and to receive updates, security patches, and email support for that product, for as long as we continue to commercially sell and maintain it. It refers to the lifetime of the product, not to the lifetime of any person.

A lifetime licence covers this product only. It does not automatically include other products we may release in future, and it does not entitle you to a higher site limit than the plan you purchased.

If we ever discontinue the product entirely, we will give lifetime licence holders at least 12 months' notice by email, and your installed software will continue to function after that date. We will not convert a lifetime licence into a paid subscription.

6. Cancellation

Cancellation applies to annual plans only — a lifetime licence is a one-time payment with nothing to cancel. You may cancel an annual plan at any time, effective at the end of your current paid term, in any of these ways:

• From the subscription-management link in your order confirmation email or invoice from our payment provider;
• From your account dashboard on this website;
• By emailing support@ipowcore.com from the address on your order — we will action the request within one business day and confirm in writing.

Cancellation stops future renewals. It does not by itself refund a charge already made; refunds are governed by our Refund Policy. You keep access for the remainder of the term you have paid for.

7. Delivery

All products are delivered electronically immediately after payment is confirmed (typically under 5 minutes). See our Delivery & Fulfilment Policy for full details.

8. Merchant Surcharge Compliance Disclaimer

The software allows you to add fees or discounts based on the payment method chosen at checkout. You are solely responsible for ensuring that any surcharge or fee you configure complies with local law, card brand rules (including Visa and Mastercard surcharging rules), your own acquirer agreement, and consumer protection regulations in every jurisdiction in which you operate. We provide the tool; we do not provide legal advice on its use.

9. Your Account

You are responsible for keeping your account credentials and licence key confidential, and for all activity under your account. You must provide accurate billing information and notify us of any unauthorised use. We may suspend an account we reasonably believe is being used fraudulently or in breach of section 3.

10. Support

Active licence holders receive email support during the hours published on our contact page. Support covers installation, configuration, and defects in the software. It does not cover custom development, third-party themes or plugins, server administration, or modifications you have made to the plugin code.

11. Warranty Disclaimer

We warrant that the software will perform substantially as described in our documentation during your licence term, and our 14-day money-back guarantee is your remedy if it does not. Beyond that warranty, and to the maximum extent permitted by law, the software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or compatible with every theme, plugin, or hosting configuration.

12. Limitation of Liability

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, sales, data, goodwill, or business interruption, arising out of or related to the software, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the software is limited to the amount you paid us for the licence in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain exclusions, so parts of sections 11 and 12 may not apply to you, and you may have additional statutory consumer rights that these Terms do not affect.

13. Indemnity

You agree to indemnify and hold the Company harmless from claims, damages, and reasonable legal costs arising from your use of the software in breach of these Terms, or from surcharges or fees you configure that breach applicable law or card brand rules.

14. Termination

You may terminate this agreement at any time by cancelling your subscription and uninstalling the software. We may suspend or terminate your licence with notice if you materially breach these Terms — in particular sections 3 or 9 — and you do not cure the breach within 14 days of us telling you about it. We may terminate immediately in the case of licence key redistribution, fraud, or chargeback abuse.

On termination for breach, your right to use the software and to receive updates and support ends, and you must uninstall the software from all sites. Sections 3, 11, 12, 13, and 16 survive termination. If we terminate without cause, we will refund the unused portion of your term on a pro-rata basis.

15. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page shows the current version. Material changes take effect for existing customers at their next renewal, and we will give account holders at least 30 days' notice by email. Continued use after that date constitutes acceptance.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk to us first. Before starting any formal proceedings, please email support@ipowcore.com describing the dispute. We commit to attempting a good-faith resolution within 30 days. In our experience almost every billing or licensing dispute is resolved at this stage, and it is faster than a chargeback.

If we cannot resolve the matter informally, the courts of Sheridan County, Wyoming, and the federal courts serving that district have exclusive jurisdiction, and both parties consent to venue there. Nothing prevents either party from seeking injunctive relief to protect intellectual property, or from bringing a claim in a small claims court with jurisdiction. If you are a consumer resident in the EEA or UK, this clause does not deprive you of the protection of mandatory provisions of your local law, including your right to bring proceedings in your local courts.

17. General

These Terms, together with our Privacy Policy, Refund Policy, and Delivery Policy, are the entire agreement between us. If any provision is held unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it as part of a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
